These Sales Terms & Conditions ("Terms") apply to all quotations, sales, orders, and transactions between KTRONIC TECHNOLOGY LLC ("KTRONIC", "we", "our", or "us") and our customers ("Customer", "you", or "your").
By placing an order or purchasing products from KTRONIC, you agree to these Terms.
1. Products and Product Information
KTRONIC supplies and distributes LED components, lighting components, electronic components, and related products.
We make reasonable efforts to ensure that product descriptions, specifications, images, datasheets, and other information displayed on our website are accurate and up to date.
However, product specifications, availability, packaging, appearance, and manufacturer information may change without prior notice.
Customers are responsible for confirming that the selected products are suitable for their intended application before placing an order.
2. Quotations and Prices
All quotations are subject to confirmation by KTRONIC.
Unless otherwise stated:
Prices are quoted in the currency specified in the quotation.
Prices may change due to manufacturer pricing, exchange-rate fluctuations, material costs, logistics costs, taxes, duties, or other market conditions.
A quotation does not constitute a final sales contract until the order is confirmed by KTRONIC.
Any applicable taxes, customs duties, shipping charges, or other charges will be stated separately where applicable.
A quotation may have a specified validity period. If no validity period is stated, KTRONIC reserves the right to revise the quotation before order confirmation.
3. Orders
Orders may be placed through our website, email, or other approved communication channels.
An order becomes effective only after it has been accepted and confirmed by KTRONIC.
KTRONIC reserves the right to:

Request additional information before confirming an order
Limit order quantities
Cancel an order where products are unavailable or information provided is inaccurate

4. Product Availability

If an ordered product becomes unavailable, KTRONIC may offer:

We will communicate with the customer regarding material changes affecting the order.
5. Payment Terms
Payment terms will be specified in the quotation, order confirmation, or sales agreement.
Unless otherwise agreed in writing, payment must be received before shipment.
For customers approved for credit terms, payment must be made according to the agreed payment schedule.
The customer is responsible for any bank charges, transaction fees, or other payment-related costs applicable to the transaction unless otherwise agreed.
6. Shipping and Delivery
KTRONIC will arrange shipment according to the agreed delivery terms.
Estimated delivery dates are provided in good faith and may be affected by:
Product availability
Manufacturing lead time
Transportation conditions
Customs clearance
Weather or natural events
Government regulations
Other circumstances beyond KTRONIC's reasonable control
KTRONIC will make reasonable efforts to keep customers informed of significant delivery delays.
7. Inspection Upon Receipt
Customers should inspect products and packaging promptly after delivery.
Any visible shortage, shipping damage, or incorrect shipment should be reported to KTRONIC as soon as reasonably possible, together with supporting information such as photographs, delivery documents, and product details.
Failure to report an issue within a reasonable period may affect the ability to process a claim.
8. Returns and Cancellation
Returns are subject to prior approval from KTRONIC.
Customers should contact us before returning any product.
Unless otherwise agreed, returned products should:
Be unused and in resalable condition
Remain in the original packaging
Include the relevant order or invoice information
Be returned within the agreed return period
Customized, specially ordered, non-stock, or made-to-order products may not be eligible for cancellation or return.
Return shipping costs and applicable restocking charges may apply depending on the reason for the return.
9. Warranty
Products are covered by the manufacturer's applicable warranty, where available.
Warranty conditions may vary depending on the manufacturer and product.
Warranty claims may require:

Purchase documentation

Failure description
Photos, test results, or other supporting information
Warranty does not normally cover damage resulting from improper installation, misuse, modification, abnormal operating conditions, or use outside the manufacturer's specifications.
10. Product Application and Technical Responsibility
Customers are responsible for determining whether a product is appropriate for their specific application.
Technical information provided by KTRONIC, including datasheets, specifications, application information, and recommendations, is provided for reference.
Customers should conduct appropriate testing and validation before using products in production or critical applications.
KTRONIC does not guarantee that a product will be suitable for a particular application unless such suitability has been expressly confirmed in writing.
11. Intellectual Property
All trademarks, product names, logos, images, documents, datasheets, and other intellectual property displayed on our website remain the property of their respective owners.
Nothing in these Terms grants the customer any ownership rights in such intellectual property.
12. Limitation of Liability
To the extent permitted by applicable law, KTRONIC shall not be responsible for indirect, incidental, special, or consequential losses arising from the purchase or use of products.
KTRONIC's liability, where applicable, shall be limited to the value of the relevant products giving rise to the claim, unless otherwise required by applicable law or expressly agreed in writing.
13. Force Majeure
KTRONIC shall not be liable for delays or failure to perform its obligations caused by circumstances beyond its reasonable control, including but not limited to:
Natural disasters
Fire or major accidents
War or civil unrest
Government actions or restrictions
Transportation disruptions
Customs delays
Epidemics or pandemics
Supply chain disruptions
Shortages of raw materials or components
Manufacturer production interruptions
We will make reasonable efforts to minimize the impact of such events and communicate material changes to customers.
14. Compliance
Customers are responsible for ensuring that their purchase, import, export, resale, and use of products comply with applicable laws and regulations in their jurisdiction.
Certain products may be subject to export controls, import restrictions, technical regulations, or other legal requirements.
KTRONIC may request additional information when necessary to comply with applicable requirements.
15. Governing Terms
These Sales Terms & Conditions shall apply to sales and transactions unless different terms have been expressly agreed in writing between KTRONIC and the customer.
Where a written quotation, purchase agreement, or order confirmation contains specific terms that conflict with these Terms, the specifically agreed written terms shall prevail for that transaction.

KTRONIC may update these Sales Terms & Conditions from time to time.
The latest version will be published on this page and will apply to future transactions from the effective date stated above.
